TinySonae — Terms of Service (English)
These Terms of Service ("Terms") govern access to and use of the TinySonae service, a business-continuity operating-picture platform ("TinySonae" or the "Service") provided by Tiny Fish, Inc. ("TinyFish," "we," "us," or "our") and made available to your organization through NESIC as authorized reseller. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Relationship to Other Agreements; Order of Precedence
The Service is provided to your organization ("Customer," "Tenant") under a master agreement between TinyFish and NESIC and the applicable customer contract and Data Processing Agreement ("DPA"). These Terms govern individual end-user ("Operator," "Administrator," "you") access to the Service. In the event of a conflict, the order of precedence is: (1) the executed master agreement and customer contract, (2) the DPA, (3) these Terms.
2. Acceptance of Terms
By being invited to and accessing a TinySonae tenant, creating Operator or Administrator credentials, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by the TinySonae Privacy Policy, which is incorporated by reference.
3. Eligibility and Accounts
You must be at least 18 years of age and authorized by your organization to use the Service. Access is provisioned by your organization's Tenant Administrator. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify your Administrator or TinyFish promptly of any unauthorized use.
4. The Service; Tenancy
TinySonae aggregates public and approved data signals into a normalized operating picture, correlates related signals into incidents, and provides query, voice query, and incident-reporting capabilities to support business-continuity and disaster-response operations. The Service is multi-tenant; your organization's data is logically isolated from other tenants. Configuration, query history, audit logs, and consumption data are maintained per tenant.
5. License Grant
Subject to these Terms and the governing master agreement, TinyFish grants your organization and its authorized users a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for the Customer's internal business-continuity and disaster-response purposes. This license does not include any right to:
- Resell, sublicense, or commercially exploit the Service or its contents except as expressly permitted under the NESIC master agreement;
- Create derivative works from the Service or its contents;
- Copy, export, or use Service data for the benefit of any unauthorized third party;
- Use data-mining, scraping, robots, or similar extraction tools against the Service.
6. Operational Use and Safety Disclaimer
TinySonae is a decision-support tool. It is not an official emergency-warning system and is not a substitute for official government alerts, emergency services, or your organization's own judgment and procedures. Disaster and signal data are derived from third-party and public sources and may be delayed, incomplete, inaccurate, or unavailable. AI-generated summaries, correlations, transcriptions, and incident reports may contain errors. You must not rely solely on the Service for any life-safety, evacuation, or emergency decision. Always verify against official sources and follow your organization's established business-continuity and emergency procedures.
7. Third-Party Data Sources
The Service ingests data from third-party and public sources (for example, official meteorological and early-warning feeds). Such data is provided "as is," subject to the terms and availability of the originating source. TinyFish does not control, and is not responsible for, the accuracy, completeness, timeliness, or continued availability of third-party source data. TinyFish uses commercially reasonable efforts to ingest and correlate authoritative public signals accurately and to make the resulting operating picture available in a timely manner.
8. Acceptable Use; Prohibited Activities
You agree not to:
- Reverse engineering: reverse engineer, decompile, or disassemble any part of the Service, or attempt to access its source code, except where such restriction is prohibited by applicable law;
- Unauthorized access: attempt to access any tenant, account, data, or system you are not authorized to access, or probe, scan, or test the vulnerability of the Service without prior written authorization;
- Interference: interfere with or disrupt the integrity, availability, or performance of the Service or the data within it;
- Automated abuse: use unauthorized automated scripts, bots, or tools against the Service;
- Unlawful use: use the Service for any unlawful purpose or in violation of any applicable law or regulation, including the laws of Japan.
9. Customer Data and Ownership
As between the parties, the Customer retains all right, title, and interest in data submitted to or generated within its tenant ("Customer Data"). TinyFish processes Customer Data solely to provide and support the Service, in accordance with the DPA and the TinySonae Privacy Policy. TinyFish may create aggregated and de-identified data from use of the Service, and may use it to operate, analyze, develop, and improve its products, services, and models, provided that such data does not identify the Customer, any tenant, or any individual and cannot reasonably be used to re-identify them. TinyFish and its licensors retain all right, title, and interest in the Service itself, including all software, APIs, models, documentation, trademarks, and logos. Nothing in these Terms grants you rights in TinyFish's or NESIC's brand features without prior written consent.
10. Data Export and Deletion
Subject to the capabilities of the then-current release and the terms of the DPA, Tenant Administrators may export tenant data and request tenant data deletion through the administrative interface. The scope, formats, and timelines for export and deletion are described in the Service documentation and the DPA. On expiration or termination, TinyFish will make Customer Data available to the Customer for export in a commercially reasonable format, as further described in the DPA, regardless of the self-service export capabilities of the then-current release.
11. Service Availability and Maintenance
We strive to maintain the availability and reliability of the Service but do not warrant uninterrupted or error-free operation. Scheduled maintenance is communicated through NESIC in accordance with the master agreement. We may modify, suspend, or discontinue aspects of the Service consistent with the master agreement, including any advance-notice requirements to NESIC set out therein.
12. User Feedback
If you submit feedback, comments, or suggestions, you grant TinyFish a perpetual, worldwide, royalty-free, irrevocable license to use and incorporate such feedback into the Service without obligation to you; provided that feedback does not include, and this license does not extend to, Customer Data or the Customer’s Confidential Information.
13. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE. TINYFISH DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DISASTER OR SIGNAL DATA WILL BE ACCURATE, COMPLETE, OR TIMELY.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TINYFISH AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE. Except in respect of (a) a party’s indemnification obligations, (b) liability arising from a party’s breach of applicable law, or (c) a party’s gross negligence or willful misconduct, and to the maximum extent permitted by applicable law, each party’s total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (i) US$100 or (ii) the fees paid for the TinySonae service by or on behalf of the Customer in the twelve (12) months preceding the event giving rise to the claim. Where the governing master agreement between TinyFish and NESIC provides for a different limitation or allocation of liability, that agreement controls; in no event will these Terms be read to leave either party without any contractual limitation of liability.
15. Indemnification
You will indemnify and hold harmless TinyFish and its affiliates from and against any third-party claims and related losses arising out of (a) your use of the Service in violation of these Terms or applicable law, or (b) data or content you submit to the Service in violation of the rights of a third party. TinyFish’s indemnification obligations (including for third-party intellectual-property claims) and the parties’ respective defense and liability obligations are otherwise as set forth in the governing master agreement between TinyFish and NESIC.
16. Term and Termination
Access continues until terminated under the master agreement or by your organization's Administrator. We may suspend or terminate access for breach of these Terms or as required by the master agreement; except where immediate action is required to address a security risk or legal requirement, TinyFish will use commercially reasonable efforts to notify NESIC in advance of suspending or terminating a Customer’s access. Provisions that by their nature should survive termination (ownership, disclaimers, limitations of liability, and governing law) will survive.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of Japan, without regard to conflict-of-law principles. Subject to the dispute-resolution mechanism in the governing master agreement between TinyFish and NESIC, any dispute arising out of or relating to your access to or use of the Service is subject to the exclusive jurisdiction of the Tokyo District Court (東京地方裁判所) as court of first instance, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction for infringement or misuse of intellectual-property rights or breach of confidentiality.
18. Severability; Entire Agreement
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect, and the invalid provision will be modified to the minimum extent necessary to be enforceable. These Terms, together with the TinySonae Privacy Policy, the DPA, and the governing master agreement, constitute the entire agreement between the parties regarding end-user use of the Service.
Controlling Language. These Terms are provided in English and Japanese. In the event of any discrepancy or conflict between the versions, the English version controls, except where the governing master agreement specifies otherwise.
19. Changes to These Terms
We may update these Terms. Material changes will be communicated to NESIC in accordance with the notice requirements of the master agreement, and by updating the Effective Date and posting the revised Terms. Continued use after changes take effect constitutes acceptance.
